What is a difference between the options Merge translation units and Overwrite existing translation units when updating the Translation Memory from the Editor?

In there it explains as follows:
Merge translation units |
When enabled, Studio keeps intentional translation unit duplicates that have been explicitly added by a translator using the Add as New Translation command, but discards all other duplicates which are considered undesired (because you have fixed spelling mistakes, for example). |
Overwrite |
Imports the new translation units and overwrites the existing translation units in the translation memory. |

I had the same query. I still can't see the difference. When using merge translation units, I assume Studio keeps the old unit. yet, doesn't this mean that a penalty is applied to the new unit because of duplicate translations?
